Affiliate Program Terms & Conditions

These Terms & Conditions apply to participants in the Master Key Professional Development Partners Affiliate Program (the “Program”).

“Company,” “we,” “us,” and “our” means RAV-AMAN LLC, a Texas limited liability company, doing business as Master Key Professional Development.

“Affiliate,” “you,” and “your” means the individual or entity that applies to the Program and accepts these Terms & Conditions. By accepting these Terms & Conditions you enter a binding agreement with us. We do not send a signed hard-copy agreement.

1. Definitions and Interpretation

  • 1.1 In these Terms & Conditions the following terms shall have the following meanings:
Business Day means any day other than Saturday, Sunday, or a U.S. federal holiday.

Commencement Date means the date you accept these terms and we approve your application.

Commission means the amount we pay you under Section 7.

Direct Referral means a completed purchase of a Service Package that is tracked from your unique affiliate link with no intervening affiliate.

First-Month Payment means the first payment a referred customer makes for a Service Package (for a membership or subscription, the first month's payment; for a one-time purchase, the purchase price), after any discounts or promotional pricing.

Net Revenue means the amount the customer actually pays for a Service Package, minus chargebacks, discounts, and any taxes we collect.

Service Package means any course, membership, or bundle offered for sale on masterkeyprofessionaldevelopment.com.

Term means the period these terms remain in effect under Section 13.

2. Enrollment in the Program

2.1 You will provide accurate and complete Registration Data and will update it when it changes.

2.2 Upon acceptance of these Terms & Conditions and our approval, the agreement is in effect. 2.3 We may review your website or social accounts and will notify you of the decision within 10 Business Days.

2.4
We may reject any application for any reason, including content that is unlawful, threatening, harassing, discriminatory, defamatory, sexually explicit, or that promotes violence or criminal activity. 2.5 Joining the Master Key affiliate program is free.

3. Company / Affiliate Relationship

3.1 Nothing in these Terms & Conditions creates a partnership, joint venture, or agency.

3.2 You have no authority to bind us or make representations on our behalf.

4. Website Links

4.1 Your Affiliate Dashboard will contain the tracking links and any graphics we provide.

4.2 You must use the links exactly as supplied. Altered links may receive no credit.

4.3 You may not modify our graphics without prior written approval.

4.4 You are responsible for keeping the links active on your own sites and accounts.

5. Display of Company Information

5.1 You agree that:
  • 5.1.1 You will maintain only one affiliate account.
  • 5.1.2 You will not refer yourself or any company or account you own or control. No commission is earned on those sales.
  • 5.1.3 You will not use spam, unsolicited bulk email, cookie stuffing, iframe injection, link cloaking, or any method that places a tracking cookie without a genuine click.
  • 5.1.4 You will not bid on “Master Key Professional Development,” variations, or misspellings in paid search without prior written approval, and you will not use our site as a display URL in those ads.
  • 5.1.5 You will not offer cash back, rewards, coupons, or other incentives for a purchase without prior written approval.
  • 5.1.6 You will not promote us on sites or accounts that contain unlawful, hateful, pornographic, or otherwise objectionable material.
  • 5.1.7 You will not make false or misleading claims about earnings, results, or the Program.
  • 5.1.8 You will clearly and conspicuously disclose that you may earn a commission whenever you post or send a link, in accordance with the FTC Endorsement Guides, 16 CFR Part 255. Failure to disclose is grounds for immediate termination and forfeiture of unpaid commissions.
  • 5.1.9 You will not use black-hat SEO or any technique that violates applicable law.
5.2 We may suspend or terminate your account and cancel unpaid commissions if we determine, in our reasonable judgment, that your practices violate these rules.

6. Orders and Customer Service

6.1 We process all orders, payments, and customer service for Service Packages.

6.2 You have no further role once the customer reaches our site through your link.

7. Commission

7.1 You earn a one-time commission of 20% of the First-Month Payment (net of chargebacks and taxes we collect) on each Direct Referral, across all Service Packages enabled in the Program.

7.2 Commission is earned on the first month's payment only. No commission is earned on renewals, recurring payments, or any later month's payment, whether or not the customer remains a member.

7.3 During promotions (for example, a Black Friday offer of 50% off the first month), the 20% commission is calculated on the discounted amount the customer actually paid. Example: a $100/month membership purchased at 50% off pays a $10 commission.

7.4 The attribution window is 30 days from the customer's last click on your unique affiliate link. If tracking fails, no commission is earned.

7.5 Commission is calculated only after we receive the First-Month Payment. It remains pending and becomes payable 30 days after the customer's initial signup, to allow time for review and approval. For a membership that begins with a free trial, the 30 days start on the first paid charge.

7.6 We may change the commission rate with 10 Business Days' prior written notice. You may exit the Program during that notice period and still receive any commission already earned on valid sales.

8. Payments

8.1 Commissions that have cleared the pending period are paid on or about the 20th of each month.

8.2 The minimum payout is $50. Amounts below the minimum roll forward.

8.3 Payment is sent to the PayPal address or bank account you provide.

8.4 You must submit a completed W-9 before the first payout. We will issue a Form 1099-NEC if required by law. You are solely responsible for all taxes on commissions you receive.

9. Chargebacks

9.1 If a customer initiates a chargeback, the related commission is reversed in full.

9.2 We may deduct the reversed amount from future commissions or invoice you for it.

9.3
This reversal right continues after termination for any sale that later chargebacks.

10. Affiliate Sales Reporting

10.1 We track the origin, Service Package, and Net Revenue of sales generated through your links.

10.2
Reports are available in your Affiliate Dashboard. We may change the form or content of those reports without notice.

11. Trade Marks

11.1 We grant you a limited, non-exclusive, non-transferable, revocable license to use our name and logos solely to promote Service Packages under these Terms & Conditions.

11.2 You may not use our marks in your own domain name, business name, or logo without prior written approval.

11.3 All rights in our marks remain ours. You will not contest our ownership.

12. Warranties and Indemnity

12.1 You warrant that your sites and accounts comply with the content rules in Section 5 and that you have all rights needed to promote us.

12.2 You will indemnify us against claims, damages, and costs (including reasonable attorney fees) arising from your breach of these Terms & Conditions, your promotional materials, or any infringement claim based on content you create or control.

13. Term and Termination

13.1 These Terms & Conditions begin on the Commencement Date and continue until terminated.

13.2 Either party may terminate for any reason with 10 Business Days’ written notice.

13.3 We may terminate immediately if you commit a material breach, engage in fraud, fail to make required FTC disclosures, or violate the prohibited-conduct rules in Section 5.

13.4 On termination you must remove all links and creative within 5 Business Days.

13.5 If we terminate for material breach or fraud, unpaid commissions are forfeited. Otherwise, commissions already earned on valid sales are paid on the next regular cycle, subject to Section 9.

14. Confidentiality

Each party will keep non-public information received from the other confidential and use it only to perform under these Terms & Conditions. This obligation does not cover information that is already public or that becomes public through no fault of the receiving party.

15. Liability

15.1 We are not liable for indirect or consequential damages.

15.2 Our total liability to you under these Terms & Conditions is limited to the commissions paid to you in the three months before the claim.

15.3
This limit does not apply to death or personal injury caused by our negligence.

16. Force Majeure

Neither party is liable for delays caused by events beyond its reasonable control, including internet outages, natural disasters, or government action.

17. General

17.1 These Terms & Conditions are the entire agreement on this subject and replace all prior discussions.

17.2 You may not assign your rights without our prior written consent.

17.3 Notices may be sent by email to the address on file.

17.4 If any provision is found unenforceable, the rest remains in effect.

17.5 These Terms & Conditions are governed by the laws of the State of Texas and applicable federal law, without regard to conflict-of-law rules. Any dispute will be brought in the state or federal courts located in Denton County, Texas.
